Please read this document carefully before installing or using the software provided on your mobile device or other computing device (collectively, \"Mobile Devices\"). BY USING THE SOFTWARE, YOU ARE AGREEING TO BE BOUND BY the below Privacy Policies of Embee Mobile (a/k/a "Embee") and Millward Brown, LLC (a/k/a 'Kantar') respectively. IF YOU DO NOT AGREE TO THE TERMS OF THIS SERVICE OR PRIVACY POLICIES, DO NOT INSTALL OR USE THE SOFTWARE.

TERMS AND CONDITIONS OF USE

Effective date: Feb 1, 2015

Thank you for downloading the Mobile Experience Meter Application ("App") owned and offered by Embee Mobile, Inc., and its affiliates ("EMBEE"). EMBEE provides you with access to and use of the App subject to your compliance with the Terms. You should not access this App or use our services ("Services") until you have carefully read and agreed to these terms and conditions of use (the "Terms").

Use of this Application

When you download this App or you create an account on this App, by selecting "I agree" to the Terms and Conditions you are expressly agreeing to be bound by these Terms. We include the Terms' effective date at the top of the Terms. We may modify the Terms from time to time without notice to you; if we do we will post the revised Terms with a revised effective date. Check the Help section periodically to see our most current Terms. By using the App following any modifications to the Terms, you agree to be bound by such modifications.

This App may not be copied, reproduced, republished, uploaded, posted, transmitted or distributed in any way, except as specifically allowed in these Terms.

User age and access. By downloading and using this App you represent that you are 15 years of age or older. This App is intended for use by residents of the United States only.

License. The App, including all of its contents, such as text, images, and the HTML or other code used ("Materials"), are our property or that of our suppliers or licensors and are protected by patent, trademark and/or copyright under United States and/or foreign laws. Except as otherwise provided herein, you may not use, download, upload, copy, print, display, perform, reproduce, publish, modify, delete, add to, license, post, transmit, or distribute any Materials from this App in whole or in part, for any public or commercial purpose without our specific written permission. We grant you a personal, non-exclusive, non-transferable license to access our App and to use the information and services contained here.

In turn, you grant us a non-exclusive, royalty-free license to use any content you post on the App or through the App for any purpose, subject to the express terms of this Agreement.

EMBEE makes the App available so that users may access the Services via a mobile device. To use the App you must have a mobile device that is compatible with the mobile service. EMBEE does not warrant that the App will be compatible with your mobile device. EMBEE hereby grants to you a non-exclusive, non-transferable, revocable license to use an object code copy of the App for one registered account on one mobile device owned or leased solely by you, for your personal use. You may not: (i) modify, disassemble, decompile or reverse engineer the App, except to the extent that such restriction is expressly prohibited by law; (ii) rent, lease, loan, resell, sublicense, distribute or otherwise transfer the App to any third party or use the App to provide time sharing or similar services for any third party; (iii) make any copies of the App; (iv) remove, circumvent, disable, damage or otherwise interfere with security-related features of the App, features that prevent or restrict use or copying of any content accessible through the App, or features that enforce limitations on use of the App; or (v) delete the copyright and other proprietary rights notices on the App. You acknowledge that EMBEE may from time to time issue upgraded versions of the App, and may automatically electronically upgrade the version of the App that you are using on your mobile device. You consent to such automatic upgrading on your mobile device, and agree that the terms and conditions of these Terms will apply to all such upgrades. The foregoing license grant is not a sale of the App or any copy thereof, and EMBEE and its third party licensors or suppliers retain all right, title, and interest in and to the App (and any copy of the App). Standard carrier data charges may apply to your use of the App.

Termination of User Access to App.

Embee may at any time, in its sole discretion and without cause, terminate any user's license or access to the App without advance notice or compensation. Embee's decision in this regard shall be absolute and final.

Rules and Limits on Use; Modifications to the App

We reserve the right, for any reason, in our sole discretion and without notice to you, to terminate, change, suspend or discontinue any aspect of the App, including, but not limited to, information, data, text, music, sound, photographs, graphics, video, messages or other materials ("Content"), features and/or hours of availability, and we will not be liable to you or to any third party for doing so.

Specific Prohibited Uses.

The App may be used only for lawful purposes by individuals using authorized services of EMBEE. You are responsible for your own communications, including the upload, transmission and posting of information, and are responsible for the consequences of their posting on or through the App. EMBEE specifically prohibits any use of the App, and requires all users to agree not to use the App, for any of the following:

a.     Posting any information which is incomplete, false, inaccurate, unlawful, harassing, libelous, obscene, or not your own;

b.     Impersonating another person;

c.      Constituting or encouraging conduct that would constitute a criminal offense, giving rise to civil liability or otherwise violate any city, state, national or international law or regulation or which fails to comply with accepted Internet protocol;

d.     Posting material that is copyrighted or otherwise owned by a third party unless you are the copyright owner or have the permission of the owner to post it;

e.     Posting material that reveals trade secrets, unless you own them or have the permission of the owner;

f.      Posting material that infringes on any other intellectual property, privacy or publicity right of another;

g.     Transmitting or transferring (by any means) information or software derived from the App to foreign countries or certain foreign nations in violation of US export control laws;

h.     Attempting to interfere in any way with the App's or EMBEE's networks or network security, or attempting to use the App's service to gain unauthorized access to any other computer system, or attempting to post or transmit any information that constitutes a virus, bug or other harmful item;

i.      Violating any terms or conditions or any other agreement you may have with any third party (including without limitation any employer) with regard to your use, possession, transmission or storage of data, or your retention of that third party's data without their permission;

j.      Violating any state, federal or local law or regulation, including without limitation any restrictions on transmission of data under the CAN-SPAM Act or the Telephone Consumer Protection Act.

Security Rules.

Violations of system or network security may result in civil or criminal liability. EMBEE will investigate occurrences and may involve, and cooperate with, law enforcement authorities in prosecuting the user or users who are involved in such violations. You are prohibited from violating or attempting to violate the security of the App, including, without limitation, the following:

a. Accessing data not intended for such user or logging into a server or account which user is not authorized to access;

b.     Attempting to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization;

c.      Attempting to interfere with service to any user, host or network, including, without limitation, via means of submitting a virus to the App, overloading, "flooding", "mailbombing" or "crashing"; or sending unsolicited e-mail, including promotions and/or advertising of products or services;

d.     Reverse engineering, reconstructing, copying, preparing derivative works or otherwise imitating the App, or

e.     Forging any TCP/IP packet header or any part of the header information in any e-mail or newsgroup posting.

Privacy Policy; User Information

In the course of your use of the App, you may be asked to provide certain information to us. EMBEE's use of any information you provide via the App shall be governed by our Privacy Policy available on the "More" page. We urge you to read our Privacy Policy. You acknowledge and agree that you are solely responsible for the accuracy and content of such information.

In addition, information collected through the App will be shared with or accessed by our market research partner Millward Brown, LLC (a/k/a Kantar). Kantar will use the information pursuant to its privacy policy . You should read Kantar's privacy policy.

Proprietary Rights

As between you and EMBEE, (or other company whose marks appear on or via the App), EMBEE (or the respective company) is the owner and/or authorized user of any trademark, registered trademark and/or service mark appearing on the App, and is the copyright owner or licensee of the Content and/or information on the App, unless otherwise indicated.

Except as otherwise provided herein, use of the App does not grant you a license to any Content, features or materials you may access on the App and you may not modify, rent, lease, loan, sell, distribute or create derivative works of such Content, features or materials, in whole or in part. Any commercial use of the App is strictly prohibited, except as allowed herein or otherwise approved by us. You may not download or save a copy of any of the Content or screens for any purpose except as otherwise provided by EMBEE. If you make use of the App, other that as provided herein, in doing so you may violate copyright and other laws of the United States, other countries, as well as applicable state laws and may be subject to liability for such unauthorized use. We do not grant any license or other authorization to any user of our trademarks, registered trademarks, service marks, other copyrightable material or any other intellectual property by including them on the App.

The information on the App including, without limitation, all design, text, graphics, interfaces, and the selection and arrangements is protected by law including copyright law.

Product names, logos, designs, titles, words or phrases may be protected under law as the trademarks, service mark or trade names of EMBEE or other entities. Such trademarks, service marks and trade names may be registered in the United States and internationally.

The EMBEE logos and service names are trademarks of EMBEE (the "EMBEE Marks"). Without EMBEE's prior permission, you agree not to display or use EMBEE Marks in any manner. Nothing on the App should be construed to grant any license or right to use any EMBEE Mark without our prior written consent.

Indemnity

You agree to defend, indemnify and hold EMBEE, its directors, officers, employees, agents and affiliates harmless from any and all claims, liabilities, damages, costs and expenses, including reasonable attorneys\' fees, in any way arising from, related to or in connection with your use of the App, your violation of the Terms or the posting or transmission of any materials on or through the App by you, including, but not limited to, any third party claim that any information or materials you provide infringes any third party proprietary right.

DISCLAIMER OF WARRANTIES

YOU UNDERSTAND AND AGREE THAT:

THE APP, INCLUDING, WITHOUT LIMITATION, ALL CONTENT, FUNCTION, MATERIALS AND SERVICES IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY WARRANTY FOR INFORMATION, DATA, DATA PROCESSING SERVICES OR UNINTERRUPTED ACCESS, ANY WARRANTIES CONCERNING THE AVAILABILITY, ACCURACY, COMPLETENESS, USEFULNESS, OR CONTENT OF INFORMATION, AND ANY WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. EMBEE DOES NOT WARRANT THAT THE APP OR THE FUNCTION, CONTENT OR SERVICES MADE AVAILABLE THEREBY WILL BE TIMELY, SECURE, UNINTERRUPTED OR ERROR FREE, OR THAT DEFECTS WILL BE CORRECTED. EMBEE MAKES NO WARRANTY THAT THE APP WILL MEET USERS' EXPECTATIONS OR REQUIREMENTS. NO ADVICE, RESULTS OR INFORMATION, OR MATERIALS WHETHER ORAL OR WRITTEN, OBTAINED BY YOU THROUGH THE APP SHALL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN. IF YOU ARE DISSATISFIED WITH THE APP, YOUR SOLE REMEDY IS TO DISCONTINUE USING IT.

ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE APP IS DONE AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.

EMBEE DOES NOT ENDORSE, WARRANT OR GUARANTEE ANY PRODUCTS OR SERVICES OFFERED OR PROVIDED BY OR ON BEHALF OF THIRD PARTIES ON OR THROUGH THE APP. EMBEE IS NOT A PARTY TO, AND DOES NOT MONITOR, ANY TRANSACTION BETWEEN USERS AND THIRD PARTIES WITHOUT THE DIRECT INVOLVEMENT OF EMBEE.

LIMITATION OF LIABILITY

IN NO EVENT SHALL EMBEE, ITS AFFILIATES OR ANY OF THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR CONTENT OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING FROM OR DIRECTLY OR INDIRECTLY RELATED TO THE USE OF, OR THE INABILITY TO USE, THE APP OR THE CONTENT, MATERIALS AND FUNCTION RELATED THERETO, INCLUDING, WITHOUT LIMITATION, LOSS OF REVENUE, OR ANTICIPATED PROFITS, OR LOST BUSINESS, DATA OR SALES, OR COST OF SUBSTITUTE SERVICES, EVEN IF EMBEE OR ITS REPRESENTATIVE OR SUCH INDIVIDUAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN NO EVENT SHALL THE TOTAL LIABILITY OF EMBEE TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT OR TORT, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE OR OTHERWISE) ARISING FROM THE TERMS OR YOUR USE OF THE APP EXCEED, IN THE AGGREGATE, $100.00.

Applicable Law/Jurisdiction

You agree that the laws of the state of California, excluding its conflicts-of-law rules, shall govern these Terms. Please note that your use of the App may be subject to other local, state, national, and international laws. You expressly agree that exclusive jurisdiction for resolving any claim or dispute with EMBEE or relating in any way to your use of the App resides in the state and federal courts of Los Angeles County, California, and you further agree and expressly consent to the exercise of personal jurisdiction in the state and federal courts of Los Angeles County.

Notices

Notices to you may be made via either email or regular mail. The App may also provide notices of changes to the Terms or other matters by displaying notices or links to notices to you on the App.

General Information

The Terms constitute the entire agreement between you and EMBEE and govern your use of the App, superseding any prior agreements between you and EMBEE. You also may be subject to additional terms and conditions that are applicable to certain parts of the App.

You agree that no joint venture, partnership, employment, or agency relationship exists between EMBEE and you as a result of this Agreement or your use of the App.

Any claim or cause of action you may have with respect to EMBEE or the App must be commenced within one (1) year after the claim or cause of action arose.

The failure of EMBEE to exercise or enforce any right or provision of the Terms shall not constitute a waiver of such right or provision. If any provision of the Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the Terms remain in full force and effect.

You may not assign the Terms or any of your rights or obligations under the Terms without EMBEE's express written consent.

The Terms inure to the benefit of EMBEE's successors, assigns and licensees. The section titles in the Terms are for convenience only and have no legal or contractual effect.

Kantar shall be a third party beneficiary of these Terms and entitled to enforce its term against you.

A. Privacy Statement

Embee Mobile, Inc. ("Embee" or "we" or "us" or "our") offers the Application to help brands improve their services based on information and insights from the behavior and profiles of consumers who participate by installing and activating the Application. The Application's Mobile Experience Meter records device usage information; the Application's associated VPN, which is established by a profile we install on your device, directs all internet data generated by your device to our third party research partner via our technology partner. This Privacy Policy ("Privacy Policy") provides information about (a) the information that Embee collects when you use or interact with our Application and VPN (as defined below) and services (collectively, the "Services"), (b) the ways in which such information is used by Embee and shared with third parties, and (c) your choices regarding use and disclosure of your information. As used in this Privacy Policy, the term "Personal Information" means information that identifies or is associated with you personally. This Privacy Policy does not apply to otherdata, including data that we collect offline or data that others collect through applications linked to our Application.



By (i) accessing our application and/or (ii) downloading, installing or using any associated application supplied by Embee to allow you to access the Services (this item (ii), the "Application"), you agree to be bound by this Privacy Policy. If you do not agree to the terms of this Privacy Policy, please do not use our Services. You may remove the Application and VPN at any time by following the instructions set forth below in "Removal of the Application and VPN."



Further, you acknowledge that this Privacy Policy is part of our Terms of Use, which is incorporated by reference, and by accessing or using our Services, you agree to be bound by the Terms of Use ("Terms of Use"). If you do not agree to our Terms of Use, do not access or use our Services.

B. Information Collected by Embee

Embee supplies these Services, as defined above, to enable Millward Brown, LLC (a/k/a Kantar) ("Kantar" or "Market Research Partner") to conduct research on user behavior. Information transferred to Kantar is used by Kantar pursuant to the Kantar privacy policy . These Services additionally employ VPN technology and services to permit our vendor RealityMine Ltd, to receive information through this technology on Kantar's behalf. When you access and use our Services, Embee may collect information (i) that you knowingly and voluntarily provide when you use our Services (such as through forms or profile screens) including, without limitation, registration/account setup information, and (ii) that we are able to collect as you use your mobile device and other applications. Information transferred using the VPN technology is not received or used by Embee.

RealityMine is a vendor and is not authorized to provide any third party other than Kantar with access to, or use of, such data in any manner that identifies you, however, they are authorized to use the data internally to develop and enhance their general offerings.

1. Information that you Knowingly and Willingly Provide. Embee collects the information that you knowingly and voluntarily provide when you download the Application and use our Services (such as through web forms or profile screens), including, without limitation, registration/account setup information, profile details, demographic details, your preferences/likes and dislikes, and other ratings information. We primarily use this information for market research regarding user preferences and habits and to facilitate other opportunities with respect to the Services., Embee may also use the information that you provide to us for various business purposes such as providing customer service, fraud prevention, improving our services, and providing you with the opportunity to earn rewards for using the Services. We may use your Personal Information in order to send you e-mail, marketing offers, or other communications. If you would like to opt-out of receiving promotional communications from Embee, please contact us in accordance with Section M (Contact Us) of this Privacy Policy.

The information that we collect and use may include, without limitation, the following kinds of Personal Information:

* Date of Birth

* Location Information

* Preferences, Likes and Dislikes

* Ratings of Products or Services

* Survey Responses

In some cases, we may ask you to send video, audio or image content to us. That content may include personal information, for example in the form of an identifiable image of you. We may also invite you to participate in surveys, in which case your responses are considered information collected under, and subject to, this Privacy Policy.

2. Information is collected via the Application and then transferred to Kantar directly by us or collected via the VPN, and then transferred to Kantar via our technology partner. This information typically includes, without limitation, details about your:

* IP Address

* Browser Type

* Operating System

* Network Type and Speed

* Local Time Zone

* Date and Time of Each User Activity

* Device Type

* Device and Application Usage (Apps, Media, Call, SMS, MMS Metadata)

* Network Access, Type and IP Address.

* Internet Access, URL and Parameters (Clickstream)

* Geographic Location (GPS)

In greater detail, the Application and VPN facilitates the collection and transfer (as described above)of the following types of information:

i. Online Browsing: This includes the sites you visit and apps you use, including news sites/apps or social networks, and your interactions with them.

ii. Online Activities: This includes the search terms you enter and the results of such searches, the videos you view, the products you shop for online, information you enter into forms, the materials you download or upload, the advertisements you see, information and content on sites or apps that you visit or use and with which you interact and may include personal, financial and health information.

iii. Information on Secure Pages/Apps: This includes information and content from protected or secure pages or apps that you access, such as online accounts or the content of complete and incomplete consumer transactions when you are checking out through a service's shopping cart, even if the service makes this information unreadable to others.

iv. System Information: This includes information about the mobile device and system you are running on, including unique identifiers that may be stored in your mobile device's operating system such as your mobile device's unique identifier, IP address and phone number of the mobile device, unique identifiers used by websites and apps, how the Application and VPN is operating, information about your accessing of cellular and wifi networks and which apps are installed or running.

v. Mobile Usage Information: This includes information about your use of your mobile device which we are able to collect if you have downloaded and installed our Application and VPN on your mobile device. Please note this information is collected and transmitted to us 'in the background', and does not require any further activation on your part. We call this 'passive tracking'. This can include the following types of information:

* Information about your internet browsing habits - how much time you spend browsing the internet on your mobile device, the sites you visit or apps you use, and the terms of any search you carry out.

* Information about your usage of other apps and features on your mobile device, including the identity of the apps and features, when you downloaded them, and how often you use them and for how long. This includes things like your use of the camera(s) (although we do not collect your photos) and the media player(s) (including the titles of songs/tracks and videos)

* Your location (see below)

* Information about the time and duration of calls you make or receive on your mobile device. We do not collect or record the content of your calls.

* Information about when you send or receive text messages, SMS or MMS. We do not intentionally collect or record the content of SMS text or MMS messages sent and received through your phone's native OS.

* Information about the time emails are sent and received on your mobile device.

* Whether you call, email, SMS or MMS, RealityMine systems 'scramble' those persons' numbers or email addresses, so we will not identify the telephone number or email address of the person you are calling/emailing/texting; however, we can tell whether they are already in your 'Contacts' in your mobile device.

* The start and end times of your appointments, and 'scrambled' versions of the titles of those appointments.

* Information about the type of mobile device you own, when and for how long you charge it, its battery status, whether it is switched on, off or in a stand-by or 'Airplane' mode.

* Information about which mobile network you use, which wifi networks you connect to, and at what times.

* Information about the volume of data downloaded to your mobile device, the times that you download that data and the method of connection you use (wifi or mobile network).

* Information we can deduce from combining the above information - e.g., what apps you were using just before you searched for particular information using your mobile device's internet browser, or how often you call, email or text a particular contact, or the geographic location in which you are most likely to charge your mobile device, make a telephone call, or download an app.

vi. Location Information: This includes information which reveals the geographic location of your mobile device, even if you have location sharing for apps turned off. When you first download the Application, you will be asked if you agree to your location information being disclosed to us. If you consent, then we may collect and transmit this information on a semi-continuous and passive basis, which does not require any further activation on your part. If you wish at any stage to turn off this passive location tracking, you will need to uninstall the Application and VPN, by following all of the defined steps from the instructions set out in section L below.

The above list contains examples of the type of data collected, and is not a comprehensive list of every single data element within such data types.

Embee may use and share non-Personal Information, aggregated or de-identified information for any purpose without restriction.

3. Information Collected by Tracking Technologies. Embee may obtain information about you and your use of the Services through cookies, Internet tags or web beacons, and navigational data collection (log files, server logs, clickstream). We permit third parties, such as Kantar, to collect information via the Application about a user's online activities across different websites and over time.

D. How Is Your Personal Information Used by Embee?

We may use Personal Information we collect about you on its own or combine it with other information we have about you to:

* Create user accounts and/or profiles through registration;

* Perform internal operations, such as tracking and improving the effectiveness of our Services and market research efforts;

* Personalize user experiences, such as remembering your settings and preferences for things like language, font size, etc.;

* Provide support;

* Resolve disputes between users and/or a user and Embee as set forth in our Terms of Use;

* Prevent fraud or deliver other location-based services;

* Administer user rewards;

* Conduct surveys;

* Conduct research;

* Receive feedback;

* Conduct audits;

* Prepare reports and analyses for our Market Research Partners;

* Provide information to our business partners;

* Provide information to our representatives and/or advisors, such as our attorneys, accountants, and others to help us comply with legal, accounting, or security requirements;

* Transfer your information as part of a merger or sale of the business;

* Protect the rights, safety, and information of our members, third parties, as well as our own; and

* Comply with legal requirements, such as in response to a subpoena or similar investigative demand.

We may also disclose your Personal Information as otherwise set forth in this Privacy Policy, as permitted by law, or with your consent.

E. Who Can Access the Information We Collect?

1. Access to Personal Information. Embee may disclose your Personal Information in the following instances:

Agents. We employ other companies and individuals to perform functions on our behalf. Examples of such functions include, without limitation, fulfilling orders, delivering packages, sending postal mail and e-mail, removing repetitive information from customer lists, analyzing data, providing technical support, providing marketing assistance, providing search results and links (including, without limitation, paid listings and links) and providing customer service. We share our users' Personal Information with these agents as we deem necessary for such third parties to perform their functions.

Employees. Only authorized employees have access to your Personal Information.

Affiliates. When you are asked for information while on our Services, you are sharing that information with Embee and our various affiliates and sister companies, unless specifically stated otherwise. As a result of this sharing, you may receive communications from any of our affiliates.

Service Providers. These include, without limitation, agents, contractors, vendors, licensors, system integrators, etc., and our affiliates who perform services for us.

To Comply with Legal Process, Protect Embee, or Enforce our Rights. We may release your Personal Information when it is necessary to (i) conform to legal requirements or comply with legal process; (ii) enforce or apply our conditions of use and other agreements (iii) protect the rights, safety or property of Embee, our affiliates, service providers, our users or the public, or (iv) prevent a crime or protect national security (including, without limitation, exchanging information with other companies and organizations for fraud protection and credit risk reduction).

As Part of a Merger or Sale of Business. We may disclose your Personal Information in connection with a substantial corporate transaction, such as the sale of our business, a divestiture, merger, consolidation, or asset sale, or in the unlikely event of bankruptcy.

2. Access to Information by our Market Research Partners. Information collected through the Application and VPN will be shared with Kantar. Kantar will use the information provided to it by Embee pursuant to the Kantar privacy policy available. You should review Kantar's privacy policy. If you do not want Kantar to use your information as set forth in its privacy policy, then you should not install or use the Application or VPN. Kantar's commitments and obligations to you are solely those set forth in the Kantar privacy policy.

F. Children and Privacy

Our Services are not directed to children under the age of 15. If you are not 15 years or older, do not use our Services.

We do not knowingly collect Personal Information from children under the age of 18. If we learn that Personal Information of persons less than 18 years-of-age has been collected through our Services, we will take the appropriate steps to delete this information. If you are a parent or guardian and discover that your child or a minor under the age of 18 has posted, submitted or otherwise communicated Personal Information to our Services without your consent, then you may alert us at admin@embeemobile.com so that we may take appropriate action to remove the minor's Personal Information from our systems.

In accordance with California's "erasure law" for minors, in the event that a minor under the age of 18 uses the Service, the minor may request that Embee delete information provided to Embee. Upon such a request, Embee will delete the information or provide the minor with (a) the ability to remove or request removal of content that the minor posted on the application; (b) notice and clear instruction on how to do so; and (c) notice that such removal may not remove all traces of such posting. Be aware that Embee may not have to comply with this removal requirement if: (i) federal or state law requires maintenance of the content or information; (ii) the content was stored or posted (or reposted) by a third party other than the minor; (iii) the operator anonymizes the content or information so that the minor cannot be identified; (iv) the minor received compensation or other consideration for providing the content; or (v) the minor does not follow the instructions provided by operator to request removal of content.

Our Services may contain links to third party services not operated by us. These links are provided as a service and do not imply any endorsement of the activities or content of these sites, nor any association with their operators. Embee is not responsible for the privacy policies or practices of any third party including, without limitation, websites directly linked to our Services. We encourage you to be aware of when you leave our Services and to review the privacy policies of any third party site that you link from our Services.

H. Security, Storage, and Retention

1. Security

Embee takes reasonable technical and organizational precautions to protect the confidentiality, security and integrity of your Personal Information. Although we use security measures to help protect your Personal Information against loss, misuse or unauthorized disclosure, we cannot guarantee the security of information transmitted to us over the Internet. There is no guarantee that information may not be accessed, disclosed, altered or destroyed. You are responsible for maintaining the secrecy of your account information including any user name or passwords. Please note that communications sent to us using email are not secure.

2. Storage

The Personal Information that you provide to Embee is generally stored on servers located in the United States. If you are located in another jurisdiction, you should be aware that once your Personal Information is submitted through our Services, it will be transferred to our servers in the United States and that the United States currently does not have uniform data protection laws in place.

3. Retention

Embee maintains one or more databases to store your Personal Information and may keep such information indefinitely.

I. International Users

We are headquartered in the United States. Your Personal Information may be accessed by us or transferred to us in the United States or to our affiliates, partners, merchants, or service providers who are located worldwide. If you are visiting our Services from outside the United States, be aware that your information may be (i) transferred to, stored, and processed in the United States where our servers are located, and our central database is operated and/or (ii) transferred to those third parties with whom we share it as described in this Privacy Policy. L. Removal of the Application and VPN

Should you decide to stop participating in the Services, you may do so at any time by uninstalling the Application and removing the Reality Mine VPN credentials. Both steps must be followed. To uninstall the Application and remove the Reality Mine VPN credentials, you may try the following steps (please note that instructions may differ based on device model; please consult the user manual for your device if you have questions):

To uninstall: Go to the Application Manager menu under Settings, select "Mobile Experience Meter" from the list of downloaded applications, and choose to uninstall.

To remove the Reality Mine VPN credentials: go to Security menu under Settings, choose "Trusted Credentials", and within Trusted Credentials, navigate the list of User credentials until you locate the one for Reality Mine, and choose to remove (or clear).

This privacy policy (.Policy.) describes the commitment that Millward Brown, LLC (a/k/a .Kantar.) (.Kantar., "Us" and "We") makes to protect your privacy.

This Policy applies solely to the use of information provided to Kantar by Embee Mobile, Inc. (.Embee.) from Embee.s application known as Mobile Experience Meter (.Application.). This Policy does not apply to any other Kantar product, data or service.

All information is collected through the Application. The Application is developed, distributed and operated by Embee, not Kantar. Embee controls the collection of information from your device and the transfer of such information from Embee to Kantar. Protecting Your Personal Data and Sensitive Personal Data

We take the security of your personal data and sensitive personal data seriously and take steps to ensure your personal data and sensitive personal data is treated securely and in accordance with this Policy. As part of this commitment we have established procedural and technical privacy rules designed to minimize the use of certain types of personal data and sensitive personal data, such as credit card numbers, email addresses and email content from most web-based email accounts. This combined information is then shared with companies in the same corporate family as us (our .Affiliate Companies.) to allow them to provide services to their clients. Our Affiliated Companies only use your information as set forth in this Policy and we will remain responsible for their use of your information.

Typically, we and our Affiliate Companies combine panel members\' data into consumer segments and report on the aggregated (or grouped) results. Consumer segments are pools of users who have common interests or characteristics, for example, .women between the ages of 28-34 interested in travel websites.. Once aggregated, the results and consumer segments are shared with our clients and other parties as described in this Policy. In some circumstances, we or our Affiliate Companies may disclose your uniquely identifiable data, personal data and sensitive personal data to our clients. This will always be done in compliance with the relevant data protection laws and the clients shall be required to only use your information as set forth in this Policy. The following are examples of the kinds of services we provide, and how your data is used in these services:

Advertising Research - Your data is combined with data from other users into a pool that is then analyzed for exposure to certain advertising. Information about the combined pool, which does not identify any particular user, is shared with clients so they can understand if and how their advertising spending impacts the consumer journey and consumer decisions. For example, by comparing the behaviors of a group of users who saw a particular online advertisement with another group of users who did not see that advertisement, we can help advertisers understand the effectiveness of their ads.

Media Use Analysis - Your data is combined with data from other users to form consumer segments that are shared with clients without identifying any particular user. These segments are typically analyzed on behalf of clients to understand where consumers go online and how consumers interact with digital media, which includes website content, apps and advertising that they see. For example, we help companies understand the effectiveness of their websites or apps by comparing how users are interacting with their websites or apps versus how users are interacting with their competitors. websites or apps.

Profile Building - We may use the personal data provided to us in addition to the information collected by the Application, or an identifier associated with you that by itself is anonymous (such as an IP address or similar identifier) to get additional information about you from other public and private data sources. These third party data sources may provide us information on your purchases (both online and off-line), your household and lifestyle information, and broader demographic and personal history details. We may combine this information with other information to create and enhance profiles that are shared as described in this Policy. For example, by looking at both web browsing activity and in-store purchases, our research may identify a consumer segment whose members visit certain websites when they are in the process of researching a product (like a television, computer, or automobile) but are likely to make the actual purchase in a physical store. This data can help the manufacturer or seller of that product better understand where to find customers who may be interested in their products.

Multi-program Data . If you participate in any other research panels or programs run by us (whether directly or indirectly, and regardless of device and applicable policy for each such other program), by using the Application you agree that we may use any information we have about you to match the data collected through the Application with the data collected through such other panels and programs (including data collected in the past), and use the combined .multi-device. data pursuant to the most restrictive applicable privacy policy.

Consumer Analysis - We may use your data, including personal data we have obtained directly or through a trusted third party vendor, to enhance our or our customer.s consumer profiles explained above. We use personal data in this way when our customer already has this information because it is usually the only way to match our profiles with those of our customers. Sometimes we may gather information from your clickstream data, such as a session ID or site user ID, and share it with a third party in order to match your information with the information possessed by that third party as part of our services. Although in each of these cases we permit these other parties and our customers to use your information to enhance their broader consumer segments, to which they then may target advertising, we prohibit these parties from using your information to target advertising to you individually. So in the normal course of your online activities, you may be a member of a broader consumer segment that sees particular advertising that your data helped create.

User-Level Data . On occasion, we may share user-level data we collected from you with third parties for purposes beyond the specific examples noted in this Policy. User-level data is information that is associated with your specific device and is not aggregated with other data. For example, we may share data with a third party that reveals that you have viewed certain sites or used certain apps or features, but you will not be personally identified with such information. Rather, the user-level data will be associated with an anonymous identifier (such as user .X.). We prohibit the third parties with whom we share such user-level data from trying to uncover the actual identity of .X., except as may be otherwise allowed under this Policy, such as in the . Consumer Analysis. section above

Targeted Surveys - We may send you invitations to participate in surveys on the basis of your online behaviors collected by the Application, or merely based upon your use of the Application. For example, if you visit sites that suggest you enjoy travel, we may send you a survey regarding travel services. We may provide our clients with some or all of the responses to these surveys without directly identifying any particular user, including specific answers and quotes from individual respondents.

When working with a third party (such as another data provider) to supplement your profile, we protect your privacy by having our partner sign a confidentiality agreement stating that they will not share personal data with unauthorized parties. We instruct them, and they are obligated, to maintain the confidentiality, security and integrity of the information we provide and not to use the information for any purpose other than those we explicitly authorize.

We may share information about you with authorized vendors and service providers in connection with the services that they perform for us. These third parties are prohibited from using your information for other purposes.

Additional Disclosures of your Information

In the event we go through a business transition, such as a merger, acquisition by another company, or sale of all or a portion of its assets, your information may be among the assets transferred.

We also reserve the right to disclose your information as required by law, court order, or legal process served on us, when we believe that disclosure is necessary to protect our rights, or to combat suspected fraudulent activities.

Application Removal and Opt-out

In order to remove the Application and/or opt-out of future data collection, you should follow the procedures set forth in the Embee privacy policy.

Data Security

We have put in place reasonable administrative, technical, and physical safeguards to protect against unauthorized access to the information we collect. However, no security measures are 100% impenetrable and we cannot guarantee against all potential security breaches.

If you have any queries about how we use your information, or if you would like to modify or remove personal data about you that is being held by Us, then you should contact us with your specific requests using the information in the Contact Us section below.

Data Retention

We will retain the information described above for as long as the information has value as part of the services we offer to our clients, or as long as is necessary to comply with our legal obligations, resolve disputes, and enforce our agreements, whichever is longer. If you opt out of the service by following the directions to remove the Application as described above in the Application Removal and Opt-Out section, we will no longer collect data from you but we will retain and continue to use your data collected prior to your removal of the Application.

Privacy Policy Changes

If we are going to use your information in a manner materially different from that stated in our Privacy Policy at the time of receipt, you will be notified via email or via the Application by Us or by Embee directly. You will have a choice as to whether or not we use your information in this different manner and instructions for how to make that choice will be included in the notification.

If we make any non-material changes to our privacy practices that do not affect information already stored in our database or for future collection, we will post a prominent notice on our website notifying our members that there is a change and pointing them to the revised privacy policy.

This Application is intended solely for users located in the United States. Our servers are maintained in the United States of America. By using the Application, you freely and specifically give us your consent to export your personally identifiable information to the USA and to store and use it in the USA as specified in this Policy.
